Terms of Service

Welcome to MediaPasses. These Terms of Service ("Terms") govern your access to and use of the MediaPasses platform, website, and related services (collectively, the "Service") operated by Media Passes, LLC ("we," "us," or "our"), a limited liability company organized under the laws of the State of Illinois.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

MediaPasses is a credential management and professional networking platform that connects media professionals (journalists, photographers, videographers, bloggers, and content creators) with public relations teams and event organizers for the purpose of managing press credential applications, digital event passes, and professional networking within the media and entertainment industries.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Account Types

The Service offers three account types:

  • Media Member: Journalists, photographers, videographers, bloggers, and other media professionals seeking event credentials and professional networking.
  • Assignment Editor: Editors and managers who coordinate coverage assignments and credential requests on behalf of media outlets.
  • PR Team: Public relations professionals, event organizers, and communications teams who manage credential offerings and review applications.

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for ensuring that the information in your profile is accurate and current. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Verification

We may verify your identity, professional credentials, or organizational affiliation at any time. You agree to provide accurate information and cooperate with verification requests. Providing false or misleading information may result in account suspension or termination.

3.4 Administrative Account Access

Authorized administrators may access your account view for the purpose of troubleshooting reported issues, diagnosing errors, and providing technical support. This access is read-only, logged with a full audit trail, limited to time-restricted sessions, and does not include the ability to modify your profile, submit applications, send messages, initiate or modify billing transactions, or take any other action on your behalf.

4. Credential Applications and Event Access

4.1 No Guarantee of Credentials

Submitting a credential application through the Service does not guarantee approval. Credential decisions are made by the respective PR teams and event organizers at their sole discretion. MediaPasses serves as a platform to facilitate the application process and does not control or influence credential decisions.

4.2 Digital Passes

Digital credential passes issued through the Service are valid only for the specific event, date, and credential type indicated. Passes are non-transferable and may not be duplicated, shared, or resold. You must present your digital pass (including QR code) as directed by event staff for check-in purposes.

4.3 Event Conduct

When attending events using credentials obtained through the Service, you agree to comply with all venue rules, event policies, and applicable laws. Misuse of credentials may result in revocation of the credential, removal from the event, and suspension or termination of your MediaPasses account.

5. User Content

5.1 Content You Submit

You may submit content through the Service, including profile information, portfolio work samples, messages, application materials, and event details ("User Content"). You retain ownership of your User Content and grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content solely in connection with operating and improving the Service.

5.2 Content Standards

You agree that your User Content will not contain material that is defamatory, fraudulent, infringing, obscene, or otherwise objectionable. We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate in our sole discretion.

6. Coverage Submissions

6.1 Coverage Links and Thumbnails

When you submit coverage through the Service, you provide a link to your published work hosted on your own website or a third-party platform. The Service may display a preview of your coverage, including a headline and thumbnail image sourced from your linked page, for the sole purpose of promoting and attributing your work within the platform. MediaPasses does not host, store, or claim ownership of your coverage content, photographs, articles, or other media. All coverage cards link directly to your original published work.

6.2 Thumbnail Display License

By submitting a coverage link and selecting a thumbnail image, you grant MediaPasses a limited, non-exclusive, revocable license to display that thumbnail image within the Service solely for the purpose of identifying, promoting, and attributing your coverage. This license exists only for as long as your coverage submission remains active on the platform. MediaPasses will not use your thumbnail images for marketing, advertising, or any purpose other than displaying your coverage submission within the Service. You may revoke this license at any time by removing your coverage submission.

6.3 Content Ownership and Responsibility

You represent and warrant that you have the right to submit coverage links and select thumbnail images from the linked content, and that doing so does not infringe any third party's rights. You retain all ownership rights to your coverage content. If you are submitting coverage produced under a work-for-hire arrangement or on behalf of an outlet, you represent that you have authorization to submit and display the coverage on the platform.

7. AI-Assisted Features

7.1 Use of Artificial Intelligence

The Service uses artificial intelligence ("AI") technology provided by Anthropic, PBC to power certain features, including but not limited to: coverage caption generation, credential application scoring and ranking, content suggestions, and professional recommendations. These features are designed to assist users and are advisory in nature — they do not make final decisions on credential approvals, denials, or any other actions that affect your account or access.

7.2 AI Application Screening

For PR Teams using the Professional plan, the Service may analyze credential applications using AI to provide scoring, ranking, and contextual insights. AI screening is advisory only — all credential approval and denial decisions are made by authorized human members of the PR team. AI-generated scores and recommendations are based on factors such as applicant verification status, coverage history, outlet information, and relevance to the event. Applicants are never automatically approved or denied by AI.

7.3 AI-Generated Content

Certain features of the Service generate text using AI, including coverage captions and content summaries. AI-generated content is provided as a starting point and may be edited by users before submission. You are responsible for reviewing and ensuring the accuracy of any AI-generated content before publishing or submitting it through the Service.

7.4 Data Processing for AI Features

When you use AI-assisted features, relevant data (such as your coverage URL, event details, or application information) is sent to our AI provider for processing. This data is processed in accordance with our Privacy Policy and our AI provider's data handling policies. AI-generated outputs are not used to train AI models.

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Impersonate any person or entity, or falsely represent your professional affiliation, credentials, or qualifications
  • Submit fraudulent credential applications or provide false information to obtain event access
  • Transfer, sell, or share digital credential passes issued through the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Scrape, harvest, or collect information from the Service through automated means without our prior written consent
  • Use the Service to send unsolicited communications, spam, or promotional material
  • Attempt to gain unauthorized access to other users' accounts or any part of the Service
  • Use the messaging system for harassment, threats, or any form of abusive communication

8. Intellectual Property

The Service, including its design, features, code, and content (excluding User Content), is owned by Media Passes, LLC and is protected by copyright, trademark, and other intellectual property laws. The MediaPasses name, logo, and related marks are trademarks of Media Passes, LLC. You may not use our trademarks without our prior written consent.

9. DMCA Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act ("DMCA"), we will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to our designated copyright agent.

9.1 Filing a DMCA Notice

If you believe that content available on or through the Service infringes your copyright, you may submit a written notification to our designated copyright agent containing the following:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material that is claimed to be infringing, including the URL or other specific location on the Service where it appears.
  • Your name, address, telephone number, and email address.
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
  • A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

9.2 Designated Copyright Agent

9.3 Counter-Notification

If you believe your content was removed by mistake or misidentification, you may submit a counter-notification to our copyright agent with the information required under DMCA Section 512(g). We will process valid counter-notifications in accordance with applicable law.

9.4 Repeat Infringers

We may, in appropriate circumstances and at our discretion, terminate the accounts of users who are deemed to be repeat infringers.

10. Third-Party Services and Data

The Service integrates with third-party services, including Ticketmaster (Live Nation Entertainment) and SeatGeek, to provide event discovery and performer directory features. We do not control these third-party services and are not responsible for the accuracy, availability, or completeness of third-party event data.

Event images, performer images, team logos, and other visual content displayed on the Service may be sourced from third-party APIs and are the property of their respective owners. Such content is displayed solely for the purpose of identifying events and performers in connection with the Service's credentialing functionality, and does not imply any endorsement, sponsorship, or affiliation between MediaPasses and the depicted artists, teams, leagues, or rights holders. All third-party trademarks, service marks, and copyrighted materials remain the property of their respective owners.

The Service uses AI technology provided by Anthropic, PBC to power AI-assisted features described in Section 7. Data sent to Anthropic is processed under Anthropic's commercial API terms and is not used to train AI models.

When you submit a coverage link, the Service may retrieve publicly available metadata (such as the page title, description, and images) from the linked URL for the purpose of generating a preview within the platform. This retrieval is limited to publicly accessible information and is performed solely in connection with your coverage submission.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIA PASSES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Media Passes, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

15. Account Termination

You may delete your account at any time by contacting us. We reserve the right to suspend or terminate your account at any time for any reason, including if we reasonably believe that you have violated these Terms. Upon termination, your right to use the Service will immediately cease, and we may delete your account data in accordance with our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

18. General Provisions

These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Media Passes, LLC regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
